1. Agreement to These Terms
   These Terms of Service ("Terms") govern your use of the Neuromatrix website, store, and related services (the "Services") and your purchase of our products (the "Product"). "Neuromatrix," "we," "us," and "our" refer to Integrative Counseling Services LLC, doing business as Neuromatrix. Our store is powered by Shopify. By visiting or using the Services or placing an order, you agree to these Terms and to our Privacy Policy and Refund Policy, which are incorporated by reference. If you do not agree, please do not use the Services.
2. Eligibility
   You must be at least the age of majority in your place of residence to purchase from us. By using the Services you confirm that you meet this requirement and that the information you provide is accurate, current, and complete.
3. Health & Safety — Important Medical Disclaimer
   The Neuromatrix Headset is a general wellness and personal-performance product. IT IS NOT A MEDICAL DEVICE. It is not intended to diagnose, treat, cure, or prevent any disease or medical condition, and nothing on our Services is medical advice. Statements about the Product have not been evaluated by the U.S. Food and Drug Administration. Individual results vary and are not guaranteed.
   Consult a qualified healthcare provider before use, particularly if you are pregnant or nursing; have a history of seizures, epilepsy, or photosensitivity; have an implanted electronic or medical device; have an eye condition or light sensitivity; take photosensitizing medication; or are under a physician's care for any condition. Stop using the Product and seek medical attention if you experience any adverse reaction.
   By purchasing and using the Product, you acknowledge the above and voluntarily assume all risks associated with its use.
4. Products and Orders
   We work to represent our Product accurately, but on-screen colors and appearance may vary by device, and we do not warrant that descriptions or images are error-free. When you place an order you are making an offer to purchase; we may accept, decline, limit, or cancel any order at our discretion, and your order is not accepted until we confirm it and process payment. You represent that purchases are for your own personal or household use and not for resale or export.
5. Pricing and Payment
   Prices, discounts, and promotions may change at any time without notice; the price that applies is the one shown at the time you order and confirmed in your order email. Unless stated otherwise, prices exclude taxes, shipping, and any customs or import charges. You represent that you are authorized to use the payment method provided and agree to pay all charges, including taxes and shipping. If a promotion's terms conflict with these Terms, the promotion's terms govern for that promotion.
6. Shipping, Delivery, and Risk of Loss
   Delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by carriers, customs, or events outside our control. Once we hand the Product to the carrier, title and risk of loss pass to you.
7. Returns and Warranty
   Returns and exchanges are governed solely by our Refund Policy. We offer a one-year warranty and a 60-day return window (restocking fees may apply as described in the Refund Policy). To start a return, email admin@neuromatrix.health for a Return Merchandise Authorization (RMA) number; items sent back without an RMA will not be accepted.
8. Reviews, Testimonials, and Other Content
   If you submit a review, testimonial, photo, or other content, you grant us a non-exclusive, worldwide, royalty-free, perpetual, sublicensable license to use, reproduce, adapt, and display it for marketing and other business purposes. You represent that the content reflects your honest, truthful experience, that you own or have the rights to it, and that you have disclosed any compensation or incentive you received in connection with it. We are not obligated to use, keep, or pay for any content and may decline or remove content at our discretion.
9. Intellectual Property
   The Services and their content — including text, images, graphics, video, logos, and the Neuromatrix name and marks — are owned by Neuromatrix or its licensors and are protected by applicable laws. We grant you a limited license to use the Services for your personal, non-commercial use only. You may not copy, reproduce, distribute, modify, republish, scrape, or create derivative works from the Services without our prior written consent.
10. Acceptable Use
    You agree to use the Services only for lawful purposes and not to: violate any law or third-party right; upload viruses or malicious code; attempt to gain unauthorized access to or disrupt the Services; harvest others' personal information; or use bots, scrapers, or automated tools to access the Services except as we expressly permit. We may suspend or terminate access if we believe you have violated these Terms.
11. Third-Party Links
    The Services may link to third-party websites or content that we do not control or endorse. We are not responsible for their content, products, or practices, and you access them at your own risk.
12. Relationship with Shopify
    Neuromatrix is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with Neuromatrix. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Neuromatrix, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Neuromatrix.
13. Privacy
    Personal information we collect through the Services is handled under our Privacy Policy. Because the Services are hosted by Shopify, Shopify also processes information about your use of the Services. By using the Services, you acknowledge you have read our Privacy Policy.
14. Disclaimer of Warranties
    EXCEPT AS EXPRESSLY STATED BY US, THE SERVICES AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that information on the Services is accurate or complete; any reliance on it is at your own risk. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.
15. Limitation of Liability
    TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL NEUROMATRIX OR ITS OWNERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, OR SUPPLIERS (OR THOSE OF SHOPIFY) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES OR ANY PRODUCT, EVEN IF ADVISED OF THE POSSIBILITY. To the extent any liability is not excludable, our total liability will not exceed the amount you paid for the Product giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.
16. Indemnification
    You agree to indemnify and hold harmless Neuromatrix and Shopify and their affiliates, officers, employees, and agents from any claims, damages, liabilities, and reasonable attorneys' fees arising out of your breach of these Terms, your violation of any law or third-party right, or your use of the Services.
17. General
    If any provision of these Terms is found unenforceable, the remaining provisions stay in effect. Our failure to enforce any provision is not a waiver. These Terms (with the policies referenced) are the entire agreement between you and us. You may not assign these Terms without our consent; we may assign them freely. These Terms are governed by the laws of the State of Arizona, and you consent to the courts located there. We may update these Terms by posting a revised version; your continued use after changes means you accept them.
